These Terms of Service ("Terms") govern your access to and use of the NotarialOS platform, including the website at notarialos.com and any related services (collectively, the "Service") operated by NotarialOS Inc. ("NotarialOS," "we," "us," "our"). By accessing or using the Service, you agree to be bound by these Terms.
1. Who we are
NotarialOS Inc. is a corporation organized under the laws of the Republic of the Philippines, with principal office at 21st Floor, Unit 2116-17, Park Triangle Corporate Plaza North Tower, 32nd St. cor. 11th Ave., Bonifacio Global City, Taguig City, NCR 1635, Philippines. NotarialOS is a leading SC-accredited Electronic Notarization Facility (ENF) operating under A.M. No. 24-10-14-SC (the Supreme Court's 2024 Rules on Electronic Notarization), the 2004 Rules on Notarial Practice, the Electronic Commerce Act (R.A. 8792), and the Rules on Electronic Evidence.
2. The Service
The Service provides software infrastructure that enables commissioned Electronic Notaries Public (ENPs) to perform electronic notarial acts — including acknowledgments, jurats, copy certifications, and signature witnessing — through both In-Person Electronic Notarization (IEN) and Remote Electronic Notarization (REN).
NotarialOS is a technology platform. The notarial act itself is performed by the commissioned ENP, who is solely responsible for the legal sufficiency of the act under Philippine law. NotarialOS does not provide legal advice and is not a law firm.
3. Eligibility and accounts
The Service is intended for use by individuals and organizations in the Republic of the Philippines and by overseas Filipinos transacting on Philippine documents. You must be at least 18 years old and able to enter into a binding contract under Philippine law to use the Service.
Account creation is by invitation following a scheduled demonstration. You agree to provide accurate, current, and complete information, to keep your account credentials confidential, and to be responsible for all activity under your account.
4. Identity verification
Every electronic notarial act on the Service requires multi-factor identity verification consistent with A.M. No. 24-10-14-SC, including a valid government-issued photo ID, facial recognition / liveness check, and one-time password verification. Submitting false information or impersonating another person is a serious offense under Philippine law and will result in immediate termination of your account, referral to law enforcement, and potential criminal liability.
5. Fees and payment
The standard fee for a notarial act on the Service is ₱488 per document, VAT-inclusive. Volume pricing is available for organizations executing 50 or more documents per month and is set out in a separate written agreement. Fees are non-refundable once a notarial act has been performed and recorded in the electronic notarial book, except as required by law.
6. Your content
You retain all rights in the documents and information you upload to the Service ("Customer Content"). You grant NotarialOS a limited, non-exclusive, royalty-free license to host, store, transmit, process, and back up Customer Content solely as necessary to provide the Service, comply with our legal obligations under A.M. No. 24-10-14-SC and related rules, and operate the platform.
You represent and warrant that you have the right to upload all Customer Content; that the content does not violate any law, contract, or third-party right; and that the content is accurate and complete in all material respects. You are responsible for the legal sufficiency of the documents you submit for notarization.
7. Acceptable use
You agree not to:
- Use the Service to commit fraud, money laundering, terrorism financing, or any other unlawful activity
- Impersonate another person or misrepresent your identity, authority, or relationship to any document
- Submit forged, falsified, or altered identification documents
- Notarize a document in which the notary is a party in interest or is otherwise disqualified under Philippine law
- Reverse engineer, decompile, scrape, or otherwise attempt to extract the source code or underlying data of the Service
- Interfere with the security, integrity, or performance of the Service, or attempt to circumvent identity verification, audit trail, or seal mechanisms
- Use the Service to send unsolicited communications or to harvest information about other users
Violations may result in immediate suspension or termination, reporting to the Supreme Court Office of the Court Administrator, the National Privacy Commission, the Anti-Money Laundering Council, or other competent authorities, and civil or criminal liability.
8. Recordkeeping
All notarial acts performed on the Service are recorded in an electronic notarial book and uploaded to the Supreme Court's central electronic notarial database, as required by A.M. No. 24-10-14-SC. NotarialOS retains session recordings, identity verification artifacts, and audit trail data for the period required by the Supreme Court rules and applicable law. You acknowledge that some records cannot be deleted on request because they form part of statutorily-mandated notarial records.
9. Service availability
We work to keep the Service available 24/7, but we do not guarantee uninterrupted availability. Scheduled maintenance, emergency maintenance, force majeure events, or third-party outages (including telecommunications, payment processors, or government infrastructure) may affect availability. We will use commercially reasonable efforts to provide advance notice of scheduled maintenance.
10. Intellectual property
The Service, including all software, designs, text, graphics, logos, and trademarks, is owned by NotarialOS or its licensors and is protected by Philippine and international intellectual property law. Subject to your compliance with these Terms, NotarialOS grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for its intended purposes.
11. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTARIALOS DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. NotarialOS does not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that any specific document will be accepted by any specific receiving party.
12. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NOTARIALOS, ITS DIRECTORS, OFFICERS, EMPLOYEES, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.
NOTARIALOS' TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO NOTARIALOS IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE THOUSAND PESOS (₱1,000.00).
13. Indemnification
You agree to indemnify and hold harmless NotarialOS, its directors, officers, employees, and affiliates from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Service, your Customer Content, your violation of these Terms, or your violation of any law or third-party right.
14. Termination
You may stop using the Service at any time. We may suspend or terminate your access to the Service immediately, without notice, if we believe you have violated these Terms, applicable law, or the rights of any third party, or if continued provision of the Service would expose NotarialOS or any user to legal or regulatory risk. Upon termination, your right to use the Service ceases, but Sections 6, 8, 10, 11, 12, 13, and 16 survive.
15. Changes to these Terms
We may update these Terms from time to time. We will post the updated Terms on this page and update the "Last updated" date above. If the changes are material, we will notify you by email or by an in-Service notice before the changes take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
16. Governing law and dispute resolution
These Terms are governed by the laws of the Republic of the Philippines, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be subject to the exclusive jurisdiction of the courts of Taguig City, Metro Manila, Philippines.
